Terms of Service

Effective October 30, 2026 · Sodasoft LLC

These Terms govern your use of PullTrail. They include a binding arbitration agreement and class action waiver in the dispute resolution section, which you may opt out of within 30 days.

1. The agreement

These Terms of Service ("Terms") are a binding agreement between you and Sodasoft LLC, a Wyoming limited liability company ("Sodasoft LLC", "we", "us" or "our"), about your use of PullTrail, including the website at pulltrail.com, the web application, the GitHub App, emails and related services (the "Service").

By creating an account, signing in, or using the Service, you accept these Terms, our Privacy Policy and our Refund Policy. If you use the Service for an organization, you accept these Terms for that organization and confirm that you are authorized to do so; "you" then means both of you. If you do not agree, do not use the Service.

2. Definitions

  • Account: your user account and the workspace that belongs to it.
  • Your Content: anything you or your account provide to or create in the Service, including preferences, notes, approvals, drafts you edit and content you publish through it.
  • Connected Data: data from GitHub and other third-party services that you authorize the Service to read.
  • Output: drafts, code changes, reviews, replies, scores and other results generated for you by the Service, including with AI models.
  • Credits: the units that pay for AI and sandbox jobs in the Service.
  • Plan: the free or paid subscription tier described on the pricing page.

3. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live if higher, and able to form a binding contract. You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.

You must give accurate information and keep it current. One account is for one person. You are responsible for all activity in your account and for keeping your email inbox and GitHub account, which you use to sign in, secure. Tell us at once at the address below if you believe your account has been accessed without permission.

4. The Service

PullTrail helps developers find open source work that fits them, prepare contributions with the help of AI, publish them under their own GitHub account after approving them, track the outcomes and keep a record of the people they worked with.

We do not promise any result. We do not guarantee that a contribution will be accepted or merged, that a maintainer will respond, or that using the Service will lead to interviews, clients, employment or any other opportunity. Information about projects, companies and open positions comes from public sources and may be incomplete or out of date.

We may add, change or remove features. If we remove a paid feature that is material to your Plan during a period you have paid for, you may ask for a prorated refund of the unused part of that period.

5. GitHub, authorizations and approvals

When you connect GitHub, you authorize the Service to act within the permissions you grant: reading your public profile, the repositories you install the GitHub App on and, if you add the optional public access, public repositories. You can change or revoke these permissions at any time in GitHub or in the Service.

Nothing is posted, pushed, opened or commented on GitHub until you approve the exact content. Everything you approve is published under your own GitHub account, and you are its author and are responsible for it.

You agree to comply with GitHub's terms and policies and with each project's code of conduct and contribution rules, including any rules about AI-assisted contributions. The Service points out such rules when it finds them, but you are responsible for following them.

6. Your Content and Connected Data

You keep all rights you have in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content and Connected Data only as needed to provide, secure and support the Service for you, including sending it to the service providers listed in the Privacy Policy. This license ends when the content is deleted from the Service, except for copies we must keep by law or that are in backups until they expire.

You confirm that you have the rights needed to submit Your Content and to authorize access to Connected Data, and that your use of the Service does not infringe anyone's rights or break any law or agreement.

We do not sell Your Content, and we do not use your code or Your Content to train AI models.

7. AI features and Output

Output is generated automatically, partly by third-party AI models, and can be inaccurate, incomplete, insecure, similar to output given to others, or unsuitable for your purpose. You must review Output before you rely on it or approve it, and you are responsible for what you approve and publish.

As between you and us, and to the extent the law allows, you own the Output generated for you, and we assign to you any rights we may have in it. You are responsible for checking that Output you publish does not infringe the rights of others and complies with the license and rules of the project it is for.

You may not use Output or the Service to develop models that compete with the Service, or represent Output as human-written where a project or the law requires disclosure of AI assistance.

8. Acceptable use

You agree not to, and not to let anyone else:

  • create fake or inauthentic activity, including spam, star farming, follow-for-follow, mass or automated contributions, comments or reviews;
  • harass, threaten, impersonate or deceive anyone, or contact people in your network in ways they have not agreed to;
  • submit content that is unlawful, infringing, defamatory, obscene or malicious, or that contains personal data you have no right to share;
  • use the sandbox or the Service for cryptocurrency mining, scanning or attacking any system, sending traffic to targets you are not authorized to test, or running malware;
  • try to get around Plan limits, credits, rate limits, approvals or security controls, or access accounts, data or systems that are not yours;
  • reverse engineer, decompile or copy the Service, except where the law expressly allows it despite this restriction;
  • scrape the Service, resell or sublicense access to it, or share an account between people;
  • use the Service in breach of export controls or sanctions, or for any unlawful purpose.

We may remove content, refuse jobs, or suspend features or accounts that we reasonably believe break these rules.

9. Third-party services

The Service works with services we do not control, such as GitHub, Stripe, AI model providers and open source projects. Your use of them is governed by their own terms and policies. We are not responsible for their availability, content, decisions or acts, such as a project rejecting a contribution or GitHub suspending an account.

10. Our intellectual property

The Service, including its software, design, text and the PullTrail name and logo, belongs to Sodasoft LLC or its licensors and is protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own professional purposes while your account is in good standing. All rights not expressly granted are reserved.

If you send us suggestions or feedback, we may use them without restriction or payment to you.

11. Plans, payment and automatic renewal

Prices and Plan contents are shown on the pricing page and at checkout, in US dollars and before any applicable tax. Payments are processed by Stripe; by paying you also accept the terms Stripe applies to payments. You authorize us and Stripe to charge your payment method for all fees when due.

Paid Plans renew automatically at the end of each monthly or annual period at the then-current price, and your payment method is charged at each renewal, until you cancel. You can cancel at any time in Billing or by emailing support@pulltrail.com. A cancellation takes effect at the end of the current paid period; you keep the Plan and its credits until then and are not charged again.

Upgrades take effect at once and are charged right away for the rest of the current period. Downgrades take effect at the next renewal.

We may change prices or Plan contents for future periods. We will notify you by email at least 30 days before a price increase applies to your renewal, and you may cancel before it takes effect. A change never applies to a period you have already paid for.

You are responsible for taxes that apply to your purchases, other than taxes on our income. If a payment fails, we may retry it, and if it still fails we may downgrade your account to the Free plan. If you dispute a charge with your bank instead of contacting us first, we may suspend the account while the dispute is open.

12. Credits

Credits pay for AI and sandbox jobs at the fixed prices shown on the pricing page (for example, a coding-agent fix costs 7 credits and a draft costs 1). A job holds its price while it runs and is charged when it finishes. A job that ends in an error is not charged. A fix is charged even when it finds nothing to change.

Plan credits are added every month, also on annual billing, and unused plan credits roll over for one month. Credit packs are available on paid Plans and expire 12 months after purchase. Trial credits expire 30 days after they are granted. Credits that expire are not refunded.

Credits are a license to use the Service, not money, property or a stored value. They have no cash value, cannot be transferred, sold or exchanged, and are not refunded when an account is closed, except as stated in the Refund Policy. There are no overage charges: when credits run out, AI jobs pause until you have credits again.

13. Free plan and trial credits

The Free plan and trial credits are offered as they are, may be limited to one per person, and may be changed or ended at any time. We may refuse or withdraw trial credits that are obtained through multiple or fake accounts.

14. Refunds and withdrawal

Refunds, including the right of withdrawal of consumers in the European Union and the United Kingdom, are governed by our Refund Policy, which is part of these Terms.

15. Privacy

Our Privacy Policy explains how we collect and use personal data. You can export your data or delete your account at any time in Settings.

17. Suspension and termination

You may stop using the Service and delete your account at any time in Settings.

We may suspend or terminate your access, with or without notice, if you break these Terms, if your use puts other people, the Service or us at risk or exposes us to liability, if required by law, or if we stop offering the Service. Where reasonable we will tell you why and give you at least 30 days to export your data, unless the law or a security risk prevents it. If we stop offering the Service for reasons other than your breach, we will refund the unused part of any prepaid period.

When your access ends, your right to use the Service ends. Sections that by their nature should survive, including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution, survive.

18. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the Service at least 30 days before it takes effect, unless the change is required by law sooner. The "Effective" date above shows the current version. If you continue to use the Service after a change takes effect, you accept it; if you do not agree, you may cancel and delete your account before then.

19. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, OUTPUT AND CREDITS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, THAT OUTPUT WILL BE CORRECT OR SAFE TO USE, OR THAT THIRD-PARTY SERVICES WILL BE AVAILABLE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. Nothing in these Terms limits rights that consumers have under laws that cannot be waived by contract.

20. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SODASOFT LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, REPUTATION OR OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US$100.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by negligence.

21. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Sodasoft LLC and its members, managers, employees and contractors from claims, damages, losses and costs (including reasonable attorneys' fees) brought by third parties that arise from content you approved or published through the Service, your breach of these Terms, or your violation of law or of anyone's rights. We will notify you of such a claim and may participate in the defense with counsel of our choice.

22. Dispute resolution, arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES BY INDIVIDUAL ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. YOU MAY OPT OUT AS DESCRIBED BELOW.

Informal resolution. Before starting arbitration or a court case, the party with the dispute must send the other a written description of it and the relief sought (to us at support@pulltrail.com; to you at the email of your account). Both parties will try in good faith to resolve it for 60 days.

Arbitration. If the dispute is not resolved, any dispute, claim or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if you use the Service for a business, before a single arbitrator. The arbitration may be held by video, by phone or on written submissions, or in person in the county where you live or in Wyoming. The arbitrator may award the same individual relief a court could. Payment of filing and arbitrator fees follows the AAA rules. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may ask a court for an injunction to stop infringement or misuse of intellectual property or the Service.

Class action and jury waiver. Disputes will be resolved only on an individual basis. Neither you nor we may bring or take part in a class, collective, consolidated or representative proceeding, and both waive a jury trial. If this waiver is found unenforceable for a claim, that claim must be brought in court, not in arbitration.

Opt-out. You may opt out of this arbitration agreement by emailing support@pulltrail.com from the email of your account within 30 days after you first accept these Terms, saying that you opt out. Opting out does not affect the rest of these Terms.

Consumers in the European Union, the United Kingdom and other countries whose laws do not allow such terms are not bound by this section and may bring claims in the courts where they live. EU consumers may also use the EU online dispute resolution platform.

23. Governing law and venue

These Terms are governed by the laws of the State of Wyoming and applicable US federal law, without regard to conflict of law rules. Subject to the arbitration section, the state and federal courts located in Wyoming have exclusive jurisdiction, and both parties consent to them. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.

24. Export controls and sanctions

You confirm that you are not located in, or a resident or national of, a country subject to comprehensive US sanctions, and that you are not on any US government list of prohibited or restricted parties. You will not use or export the Service in breach of US or other applicable export control or sanctions laws.

25. General

  • These Terms, with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service and replace any earlier agreements about it.
  • If a provision is found unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets, or to an affiliate, with notice to you.
  • We are not liable for delays or failures caused by events beyond our reasonable control, such as outages of providers, internet failures, natural disasters, war or government action.
  • You agree to receive communications electronically. Notices to you are sent to the email of your account; notices to us must be sent to the address below.
  • No agency, partnership, joint venture or employment relationship is created by these Terms. The English version of these Terms controls.
